VPSFix Terms of Service

These Terms of Service (“Terms”) govern your access to and use of services provided by VPSFix, LLC (“VPSFix,” “we,” “us,” or “our”).

By creating an account, placing an order, purchasing a service, or using a VPSFix service, you agree to these Terms and to any additional policies or service-specific terms incorporated by reference.

If you do not agree to these Terms, you must not purchase or use the Services.

1. About VPSFix

VPSFix provides technical, hosting-related, server, software, email marketing, and related online services.

Services may include:

  • hosting and server-related services;
  • server administration and technical support;
  • installation, migration, repair, and maintenance services;
  • VPSFix Mail;
  • managed and unmanaged email-sending services;
  • other technical services made available by VPSFix.

The exact scope, pricing, limits, and features of each Service are defined by the applicable product page, order form, quotation, custom offer, service description, or written agreement.

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement to use the Services.

If you purchase or use a Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for ensuring that the information you provide to VPSFix is accurate and current.

3. Account Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for activity performed through your account, including activity performed by:

  • employees;
  • contractors;
  • authorized users;
  • applications;
  • anyone to whom you provide access.

You must promptly notify VPSFix if you become aware of unauthorized access or suspected compromise of your account.

VPSFix may require password resets, credential changes, or other security measures where reasonably necessary.

4. Orders and Service Activation

Submission of an order does not necessarily constitute acceptance by VPSFix.

VPSFix may review, approve, reject, or request additional information regarding an order before provisioning.

Some Services, including certain VPSFix Mail plans, may require manual approval before activation.

We may refuse or cancel an order where:

  • required information is missing;
  • the requested use appears inconsistent with our policies;
  • payment cannot be confirmed;
  • the order presents a security or abuse risk;
  • the Service cannot reasonably be provided;
  • we otherwise determine that accepting the order would create material operational, legal, or reputational risk.

If payment has already been made for an order we decline before substantive provisioning, any refund will be handled under the VPSFix Refund & Cancellation Policy.

5. Service Scope

VPSFix is responsible only for the work and functionality included in the purchased Service.

Items not included in the stated scope may require:

  • a different plan;
  • an upgrade;
  • additional fees;
  • a separate service;
  • a new quotation or custom agreement.

Unless expressly stated otherwise, VPSFix is not responsible for third-party software development, custom programming, third-party account approval, or work outside the agreed scope.

6. Customer Responsibilities

You are responsible for:

  • providing accurate information;
  • providing required access and credentials where necessary;
  • maintaining appropriate backups unless backup management is expressly included;
  • maintaining valid licenses for software you provide;
  • complying with applicable laws;
  • complying with third-party provider terms;
  • maintaining control of your domains, DNS, accounts, and external services;
  • reviewing and testing the completed work where appropriate;
  • informing VPSFix promptly of material problems.

You must not knowingly provide VPSFix with unauthorized, stolen, compromised, or unlawfully obtained credentials, software, data, or access.

7. Acceptable Use

All Services are subject to the VPSFix Acceptable Use Policy.

Where a Service involves email sending, VPSFix Mail, or email marketing, the VPSFix Mail Email & Anti-Spam Policy also applies.

Depending on the Service purchased:

You are responsible for understanding and complying with the policies applicable to your Service.

A serious or repeated violation may result in restriction, suspension, or termination.

8. VPSFix Mail

VPSFix Mail is an email marketing and messaging platform offered under different service models.

Managed Plans

Under Managed plans, VPSFix operates or provides the sending infrastructure.

Managed plans are subject to additional controls intended to protect:

  • sending reputation;
  • shared infrastructure;
  • upstream provider accounts;
  • other customers.

Managed plans are governed by the Managed Sending Policy in addition to the other applicable VPSFix policies.

Unmanaged / Bring Your Own Sending Plans

Under Unmanaged plans, the customer provides and controls their own supported sending provider or account.

VPSFix provides the platform, but the customer is responsible for their sending-provider account, billing, approval, reputation, quotas, and provider compliance.

Unmanaged plans are governed by the Unmanaged Sending Policy.

9. Third-Party Services

Some Services depend on or integrate with third-party providers, including:

  • hosting companies;
  • cloud providers;
  • domain registrars;
  • DNS providers;
  • email delivery providers;
  • payment processors;
  • software vendors;
  • other external services.

Third-party services are governed by their own terms and may change, fail, restrict, suspend, or discontinue service independently of VPSFix.

VPSFix does not control third-party decisions such as:

  • account approval;
  • sending quota approval;
  • account suspension;
  • provider billing;
  • API changes;
  • provider outages;
  • blocklisting;
  • content filtering;
  • service termination.

Where reasonably possible, VPSFix may assist with troubleshooting or migration, but VPSFix is not responsible for decisions or failures caused solely by third parties.

10. Payments

Prices are shown through the applicable VPSFix ordering or billing system.

Payments are processed by external payment providers.

VPSFix does not collect or store full payment card credentials.

You are responsible for paying all amounts due for your Services.

Applicable taxes, transaction fees, or third-party charges may be added where required.

11. Recurring Services

Some Services are sold on a recurring subscription basis.

Unless otherwise stated:

  • recurring Services renew automatically according to the selected billing cycle;
  • payment is due at each renewal;
  • continued access may depend on successful payment;
  • failure to pay may result in suspension or termination.

Customers are responsible for managing cancellations before the next renewal where they do not wish to continue a recurring Service.

12. Price Changes

VPSFix may change the pricing of Services.

Price changes do not retroactively alter amounts already paid.

For recurring Services, VPSFix may apply revised pricing to future billing periods subject to reasonable notice where required.

If you do not wish to continue after a price change, you may cancel the affected recurring Service before the revised price takes effect.

13. Upgrades and Downgrades

Where supported, customers may request a plan upgrade or downgrade.

Changes may affect:

  • pricing;
  • quotas;
  • features;
  • storage;
  • sending limits;
  • account functionality.

Any credit, proration, charge, or effective date associated with a plan change is determined by the applicable billing configuration and service terms.

A downgrade may remove access to features or limits available under the prior plan.

14. Suspension

VPSFix may suspend all or part of a Service where reasonably necessary because of:

  • non-payment;
  • suspected fraud;
  • security compromise;
  • abuse;
  • violation of these Terms;
  • violation of an applicable policy;
  • unacceptable infrastructure or reputation risk;
  • third-party provider enforcement;
  • legal requirements;
  • serious technical risk.

Where practical, VPSFix may provide notice or an opportunity to correct the issue.

However, immediate suspension may occur where necessary to protect VPSFix, customers, infrastructure, providers, recipients, or third parties.

15. Termination

You may terminate a Service in accordance with the cancellation process applicable to that Service.

VPSFix may terminate a Service for:

  • serious or repeated violations;
  • deliberate abuse;
  • fraud;
  • unlawful activity;
  • persistent non-payment;
  • attempts to evade enforcement;
  • material breach of these Terms;
  • circumstances that make continued provision unreasonable or unsafe.

Termination does not eliminate amounts already due.

Refund eligibility after termination is governed by the VPSFix Refund & Cancellation Policy.

16. Data After Termination

When a Service ends, customer access may be removed.

You are responsible for exporting or preserving data you wish to retain before termination where export functionality is available.

VPSFix may delete service data after termination according to operational retention practices, the Privacy Policy, and any applicable legal obligations.

VPSFix is not obligated to retain customer data indefinitely after a Service ends.

17. Backups

Unless a Service expressly includes managed backups, customers are responsible for maintaining their own backups.

Even where VPSFix provides backup functionality, no backup system can be guaranteed to be infallible.

Customers should maintain independent copies of critical data where reasonably possible.

18. Technical Changes and Maintenance

VPSFix may perform:

  • maintenance;
  • security updates;
  • infrastructure changes;
  • software upgrades;
  • configuration changes;
  • migrations;
  • emergency repairs.

These activities may occasionally cause temporary service interruptions.

Where practical, scheduled maintenance affecting material availability may be communicated in advance.

Emergency or security-related work may be performed without prior notice.

19. Service Availability

Unless a specific Service Level Agreement is expressly provided, VPSFix does not guarantee continuous or uninterrupted availability.

Service availability may be affected by:

  • infrastructure failures;
  • software defects;
  • network issues;
  • third-party outages;
  • maintenance;
  • security incidents;
  • force majeure;
  • events outside VPSFix’s reasonable control.

VPSFix will use reasonable efforts to maintain and restore Services but does not guarantee a specific uptime percentage unless separately agreed.

20. No Guarantee of Results

Technical Services are provided to achieve the agreed scope, but VPSFix does not guarantee outcomes that depend on third parties or external systems.

Examples include:

  • inbox placement;
  • search rankings;
  • sales or revenue;
  • traffic;
  • email open or click rates;
  • provider approval;
  • sending quotas;
  • blocklist removal;
  • third-party account acceptance;
  • future compatibility of third-party software.

Any estimate, recommendation, or technical opinion is based on the information reasonably available at the time.

21. Software and Licensing

Customers are responsible for obtaining and maintaining valid licenses for third-party software supplied by them.

VPSFix may refuse to install, configure, support, or retain software where the customer has expressly indicated that it is pirated, stolen, unauthorized, or unlawfully obtained.

Third-party software remains subject to the software vendor’s own license terms.

22. Intellectual Property

VPSFix retains ownership of its:

  • trademarks;
  • logos;
  • branding;
  • documentation;
  • proprietary tools;
  • original code;
  • internal systems;
  • other intellectual property.

The customer retains ownership of their own content and data, subject to any third-party rights.

You grant VPSFix the limited rights necessary to store, process, transmit, modify, or access customer data where required to provide the Service.

23. Customer Content

You are responsible for content uploaded, hosted, transmitted, published, or sent through the Services.

You represent that you have the necessary rights and authority to use that content.

VPSFix does not claim ownership of customer content merely because it is processed through a VPSFix Service.

24. Privacy and Data Protection

VPSFix’s collection and use of personal information is governed by the VPSFix Privacy Policy.

Where VPSFix processes personal data on behalf of customers, additional data-processing terms may apply.

Customers remain responsible for ensuring that they have a lawful basis to collect, upload, store, and use personal information they provide to VPSFix.

25. Confidentiality and Access

Where VPSFix receives credentials, private configuration, customer data, or other confidential information for the purpose of delivering a Service, VPSFix will use that information only as reasonably necessary to perform, secure, support, or administer the Service, except where disclosure is legally required.

Customers should provide the minimum access reasonably necessary for the requested work.

26. Security

VPSFix uses reasonable technical and operational measures intended to protect its systems and Services.

However, no internet-based service can guarantee absolute security.

You acknowledge that risks may include:

  • unauthorized access;
  • software vulnerabilities;
  • malware;
  • credential compromise;
  • third-party security incidents;
  • data loss.

Customers remain responsible for securing their own credentials, endpoints, and external accounts.

27. Support

The support included with a Service is determined by the applicable product or agreement.

Support does not automatically include:

  • custom development;
  • unrelated troubleshooting;
  • third-party account disputes;
  • work outside the purchased scope;
  • unlimited consultation;
  • ongoing administration unless explicitly included.

Additional work may require a separate service or fee.

28. Refunds and Cancellations

Refund and cancellation eligibility is governed by the VPSFix Refund & Cancellation Policy.

No refund is automatically due merely because:

  • a customer changes their mind after substantive work has begun;
  • a third-party provider rejects or suspends an account;
  • a Managed email campaign performs below expectations;
  • email is filtered or placed in spam;
  • an Unmanaged customer’s own provider limits or suspends sending;
  • a Service is suspended for abuse or policy violations.

Nothing in these Terms limits any non-waivable consumer rights that apply under applicable law.

29. Disclaimers

Except where expressly stated otherwise, Services are provided on an “as available” basis.

To the maximum extent permitted by applicable law, VPSFix disclaims implied warranties that cannot reasonably apply to the nature of the Service, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted operation.

This section does not exclude any warranty or right that cannot legally be excluded.

30. Limitation of Liability

To the maximum extent permitted by applicable law, VPSFix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services.

This includes, where legally permitted:

  • loss of profit;
  • loss of revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of expected savings;
  • indirect data loss;
  • consequential business interruption.

Subject to any rights or liabilities that cannot legally be limited, VPSFix’s aggregate liability arising from a particular paid Service should not exceed the amount paid by the customer to VPSFix for that Service during the [3 / 6 / 12] months immediately preceding the event giving rise to the claim.

This liability cap should be reviewed with your lawyer before publication.

31. Indemnification

To the extent permitted by law, you agree to indemnify and hold VPSFix harmless from third-party claims, losses, liabilities, and reasonable costs arising from:

  • your violation of these Terms;
  • your violation of applicable law;
  • your content;
  • your misuse of the Services;
  • infringement of third-party rights;
  • unlawful or unauthorized email or messaging activity;
  • data you upload or process without appropriate rights or authority.

This provision should be interpreted subject to applicable law.

32. Force Majeure

VPSFix is not responsible for delays or failures caused by events beyond its reasonable control, including:

  • natural disasters;
  • war;
  • civil unrest;
  • government action;
  • major internet or telecommunications failures;
  • upstream provider failures;
  • widespread cyberattacks;
  • power failures;
  • other comparable events outside reasonable control.

33. Changes to Services

VPSFix may update, modify, replace, or discontinue features or Services where reasonably necessary.

Where a material change substantially affects a paid recurring Service, VPSFix will take reasonable steps to provide notice where practical.

34. Changes to These Terms

VPSFix may update these Terms from time to time.

The current version will be published on the VPSFix website with an updated effective date or last-updated date.

Material changes may be communicated through the website, customer account, email, or another reasonable method.

Continued use after changes take effect constitutes acceptance where permitted by law.

35. Governing Law

These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.

Any dispute-resolution or jurisdiction language should be reviewed by legal counsel before publication.

36. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

37. No Waiver

Failure by VPSFix to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

38. Entire Agreement

These Terms, together with:

form the agreement between the customer and VPSFix regarding the relevant Service.

If a service-specific written agreement expressly conflicts with these Terms, the more specific agreement governs to the extent of that conflict.
